Byju's, once hailed as the world's most valuable edtech firm, now finds itself grappling with a series of pressing challenges. These include funding woes, corporate governance issues, and legal battles that threaten the company's stability. To regain its footing, Byju's faces the urgent task of securing a minimum of $1.5 billion in capital while addressing internal issues.

Signs of trouble began emerging earlier this year when reports circulated about Byju's delaying rent payments for its office spaces in Bengaluru. The company, operating under the corporate entity Think & Learn Pvt. Ltd, had leased several properties, including the sprawling Kalyani Tech Park in Brookefield, covering half a million square feet with a monthly rent of Rs 3 crore. By July, Byju's had vacated a significant portion of its office space in Brookefield, instructing employees to work remotely or from alternative locations. It had become evident that the company was struggling to meet its financial obligations.

Beyond rent, Byju's had also defaulted on statutory payments such as employees' provident fund contributions. The company had significantly reduced its workforce from 58,292 employees in March 2022 to just 24,787 by May 2023, according to PrivateCircle Research.

Further signs of turmoil emerged as Byju's statutory auditor resigned, and three members of the company's board, representing prominent investors, followed suit. G.V. Ravishankar (of Peak XV Partners), Vivian Wu (The Chan Zuckerberg Initiative), and Russell Andrew Dreisenstock (Prosus NV) cited "differences" with founder Byju Raveendran as their reason for leaving. This exodus left the board with only Raveendran, his wife Divya Gokulnath, and brother Riju Ravindran.

Deloitte Haskins & Sells, Byju's auditor with a mandate extending until 2025, expressed concerns about the company's financial accounts. It highlighted issues related to the 2020-21 accounts and expressed uncertainty about when Byju's planned to finalize its 2021-22 financials.

Several sources close to investors and the auditor disclosed that the company's promoters were unresponsive to inquiries about financial results. This lack of transparency raised concerns among investors and stakeholders.

The once-mighty unicorn, valued at $22 billion during its peak, now faces skepticism about its valuation and global ambitions. The crisis also includes a term loan issue, further complicating Byju's financial situation.
