LEGAL VIEWPOINT: Directors and officers legal duty of loyalty & good faith

Directors and officers must, all through, act in the best interests of the company. They breach their duty if they try to profit personally at the expense of the company. This is what is called “Self-Dealing” for self-gain. In such instances, directors and officers are not prohibited, in all cases, from entering into transactions with the company.

At one time, it was held that such deals were voidable by the company but today the majority of courts treat such deals “voidable” only if unfair to the company. However, before a director enters a contract with the company, he should make a full disclosure of his interest. This requires that the director or officer disclose all material facts of the transaction, including his interest in it.

After full disclosure, the disinterested members of the board or the shareholders themselves must approve the transaction. However, such approval does not automatically relieve the self-dealing director or officer from liability to the company. The initial burden of proving the fairness of the transaction lies with the self-dealing director or officer. After proper approval by the board of directors or shareholders, the burden of establishing unfairness merely shifts to the company.

ASIGE stands for women’s empowerment, ethical creative products and girl’s education. At ASIGE, over 400 women and girls are offered training, skills and employment, thus, making them financially independent.

“2024 will be a testing year for democracy” -
Says President Frank-Walter Steinmeier of Germany

Berlin, 11 January 2024

Federal President Frank-Walter Steinmeier welcomed more than 150 ambassadors and representatives of international organisations accredited to Germany to the traditional New Year’s reception at Schloss Bellevue.

In his address, President Steinmeier observes that 2024 “will be an important election year for many democracies – large and small, around the world.

“I would even say that 2024 will be a testing year for democracy itself. Around half of the entire world’s population will be called to the polls in 2024.”

“The citizens of the 27 EU member states will elect a new European Parliament in early summer. And I am convinced that the democracies here in Europe; also stronger than the opponents of a united Europe; also stronger than those who see a retreat into nationalism and isolationism as the panacea for global challenges.”

The president also reminded the assembled dignitaries about the power and importance of language.

“Diplomacy,” he stressed, was difficult to imagine without language.

LEGAL VIEWPOINT: Islamic Finance & Corporate Governance

The Organization for Economic Cooperation & Development (OECD) defined Corporate Governance as, “Corporate Governance, CG involves a set of relationships between an entity's management, its Board, its shareholders & stakeholders. CG, also provides the structure through which the objectives of the entity are set, and the means of attaining those objectives and monitoring the performance. Good CG, should provide proper incentives for the Board & management to pursue objectives that are in the interests of the entity, the shareholders and should facilitate effective monitoring, thereby encouraging firms to use resources more efficiently”.

This definition of OECD was adopted by Basel Committee for banking business and many other international organizations including the World Bank. It almost, becomes the most appropriate definition we are pursuing in our endeavors to implement the corporate governance principles. With reference to the growing Islamic Finance, I would like to mention, all Islamic finance entities including Islamic banks and Islamic insurance companies are guided by the rules issued by Islamic Finance institutions. Such rules, are covering the necessary details for Corporate Governance principles for Islamic Finance.

The main principles for Corporate Governance, is the appointment of Sharia Board, their number, remuneration and relevant jurisdiction in Islamic Finance organizations. The task of the Sharia Board is to make sure that Islamic Finance organizations are performing their duties as per Sharia rules, directives & instructions. The principles, give the guidelines for the Superior Sharia Supervision for Islamic Finance organization.

The Sharia Supervision role, is to make sure that the duties performed or to be performed are in complete compliance to Sharia rules. This constitutes the primary duty of the Sharia Supervision. Also, the principles, give guidelines for the Internal Sharia Supervision Dept. in each Islamic Finance organization. This Dept., links the relation between the Islamic Finance organization and the Superior Sharia Supervision and makes sure that the daily business is not violating Sharia. They give guidelines for the establishment of the CG Committees.

The Board in each Islamic Finance organization shall establish such committees, as audit & governance committee, executive committee, remuneration committee etc. And, guidelines for the independence of the Sharia Boards. The independence here is a major yardstick that gives the creditability for the Sharia Board.

Football for Schools returns to Qatar with seminar designed for women
• A capacity-building seminar was held in Doha on 27 and 28 September
• The workshop was designed for women: 40 female teachers took part

This announcement by Fatimata Sidibe, Director of Football for Schools (F4S) last December at the end of an eventful 2022 year followed the FIFA World Cup in Qatar, during which F4S had a dedicated space at the 3-2-1 Olympic and Sports Museum in Doha.
"Capacity-building" was the theme of the Football for Schools seminar held in Doha on 27 and 28 September, almost ten months after the World Cup adventure. It was a workshop designed exclusively for women, all of whom are physical education teachers. Once again, thousands of children will benefit from their training.
The Generation Amazing Foundation, Qatar Foundation, Qatar Football Association (QFA) and the Qatar Ministry of Education and Higher Education all joined in the project, which was piloted by Football for Schools and FIFA. Spread over two days, the seminar offered a unique opportunity for educators to improve their skills, and the chance to become spokespersons for positive change in their respective regions of the country.

The workshop covered various aspects of the Football for Schools Programme which aims to make football more accessible to young people by incorporating football activities into the education system. On the menu: coaching techniques, integration of life skills and use of the 'F4S' digital app. It was also an opportunity for women from all walks of life to get together, exchange ideas and learn from each other's experiences of football.

"This is an important step towards closing the gender gap in sport, thanks to the FIFA Football for Schools programme," explains Fatimata Sidibe. "Together with our partners, we see this seminar as a door-opener for women in the field of sports development, which we sincerely hope this kind of opportunity will multiply."

Among the speakers in Doha were Antonio Buenaño Sánchez, FIFA Football for Schools Manager, and a trio of women's football experts with a huge amount of experience: Sue Ronan Martin, Anouschka Bernhard and Thuba Sibanda, the fruit of a collaboration between F4S and the FIFA Women's Football Division.
To make matters even more exciting, the event was held at Education City Stadium, ensuring a tangible World Cup flavour was in the air.

"The Qatari government allocated the stadium exclusively to women who want to play football, allowing women and girls to practice their sport in complete peace of mind," explained Alexandra Chalat, who in charge of World Cup Legacy at the Qatar Foundation.

"These types of workshops, training programmes and events are exactly what we aspire to offer at Education City Stadium. This spectacular venue is becoming a dedicated centre for women's sport in Qatar, as part of the legacy of the 2022 FIFA World Cup Qatar," added Abeer Al-Khalifa, President of Pre-University Education at the Qatar Foundation.

The event was part of a memorandum of understanding between FIFA, Generation Amazing, and the Qatar Foundation that included initiatives around youth and community empowerment, well beyond the FIFA World Cup Qatar 2022™.

Speaking after the signing, FIFA President Gianni Infantino said: “To be able to positively impact society through the power of football is a shared goal and responsibility between each of our organisations. Using sport to reach the next generation is something all three places at the forefront of everything they do. We look forward to working together over the coming months and years in many common projects, and particularly to deliver Football for Schools in Qatar.”

By designing this seminar exclusively for women, the aim was to support female teachers capable of inspiring the next generation. We're sure that goal has been achieved.

Sophisticated brain stimulation technologies and brain-computer interfaces are the field of Prof. Dr. Surjo Soekadar, Einstein Professor of Clinical Neurotechnology at Charité - Universitätsmedizin Berlin. With his team, he develops and tests systems that enable communication between the brain and external devices. In this way, severely paralysed people, among others, can control exoskeletons using their thoughts. But the systems have their limits. And brain areas located deeper inside the skull are difficult to reach. A new generation of these interfaces, equipped with high-resolution sensors and a particularly effective stimulation method, should change that - supported by the European Research Council (ERC) with around two million euros over the next five years.

Brain-computer interfaces (BCIs) use the fact that the brain generates electrical fields. These fields can be measured on the scalp. BCIs then translate the brain activity into control signals from external devices such as prostheses, robots or exoskeletons. For people with severe paralysis, this can enable movement or communication. So-called bidirectional BCIs also make it possible to stimulate brain activity electrically in a targeted manner, for example to simulate tactile sensation when controlling a prosthesis. BCI systems are of medical use in the field of neurological rehabilitation, for example, when it comes to restoring the ability of severely paralysed people to communicate or move.

The "POATE" Pearl of Africa Travel Expo kicked off today at the Commonwealth Resort Munyonyo, in Kampala, Uganda.

The seventh in the series, this year’s POATE returns as an onsite event since the last edition in 2020 due to the COVID-19 shut downs.

Organised under the auspices of the Uganda Tourism Board, the POATE is a gathering of MICE (Meetings, Incentives, Congresses and Events), Investors and Travel Trade Business executives.

The CEO of Uganda Tourism Board, Lilly Ajarova, stressed in her opening remarks that the new direction of POATE was “sustainability and Responsible tourism.”

The goal, she said was to improve revenue and create employment in Uganda as well as generate economic benefits.

A total of around 100 invited hosted buyers are attending the event. They are from South Africa, Kenya, Nigeria, Rwanda, and Egypt.

Other hosted buyers came from the German speaking countries – Germany, Austria and Switzerland. The rest came from Italy, Spain and the United Kingdom.

The Director-General of the Ghana Broadcasting Corporation is reported to have expressed the need to censure the free flow of information in Ghana.

The Director-General, Prof. Amin Alhassan seems not to appreciate the right of Ghanaians to free information.

Whiles we do not doubt his doctorate degree, Prof. Amin Alhassan, is exhibiting crass ignorance on the importance of responsible journalism.

Prof. Alhassan has shown clearly that he is blind to the fact that, a free media is a necessary pillar within a democratic dispensation.

The Director-General of the Ghana Broadcasting Corporation should be told that free journalism is crucial in a young democracy such as Ghana’s.

Prof. Amin Alhassan mentioned in his address what he calls, "Community Values".

Now, the question is: What does the GBC Director-General mean by "Community Values"? Is the destruction of Ghana's forests in the name of illegal mining part of Ghana's "Community Values"?
