I have worked in real estate all my life and this is the strangest case I have ever encountered to.

We created a company called ISITEL in Slovenia and opened a website at: Isitel d.o.o. to do consulting and buy and sell real estate.

We put a down payment for $10,000.00 with Intesa San Paolo bank of Italy in Slovenia.

We are willing to pay the balance but have heard nothing back from Intesa San Paolo regarding financing ( Finor Leasing ), etc. for the final purchase of the property. We attach the legal information.

Please investigate this with the authorities.

Dear Sirs:

We will definitely be interested in legally proposing arbitration to Intesa SanPaolo Bank. We have contacted them before and we think they are also open to arbitration.

In all my years in Real Estate in different countries we have never run into this situation where we place ernest money down as a deposit to purchase property and then the bank, a third party, and the Courts decide to keep the money. No services have been rendered. We allegedly paid for a lease and were never given the keys or allowed to occupy the office, and we ended up paying an addition 1,500 euro to fix up the real estate?

I will send a copy of this email to our Attorney to present in the Courts in Slovenia.

Dear Sirs,

In the absence of the President, we advise you that is not the practice of arbitral institutions to propose to one party to enter into an arbitration agreement.

The best way is then for you to write to the other parties proposing to enter into an arbitration agreement, referring – if you wish – to our institution and to its Rules.

We enclose to this effect our Standard Arbitration Clause, which you could largely use in drafting the arbitration agreement.

STANDARD ARBITRATION CLAUSE

Any dispute arising from, related to, or connected with this relationship between the parties shall be determined by a sole arbitrator appointed by the European Court of Arbitration (with seat in Strasbourg), according to its international Arbitration Rules (the “Rules”) in force at the time the request for arbitration is filed and of which the acceptance of this clause constitutes acceptance.

ISITEL KOPER : Copy of evidence p.1 filed with Courts with competent jurisdiction. Title showing FINOR LEASING is the owner of the property. The lease has not been paid off. Only ISITEL and FINOR LEASING can arrive at an agreement to pay the lease off. ISITEL would become the legal owner at that point.

Ours is a very sad story from the moment we arrived in Slovenia .

The Slovenian Government is trying to close us down. They have blocked our bank account in NLB without a court order and no due process. Their legal system is still in the middle ages and no help is to be found.

We created ISITEL in Slovenia to offer Real Estate Consulting and Marketing Services and immediately started reporting news from Slovenia and around Europe. What happened next is appauling. The Slovenian Government decided to close us down.

We never thought any of this was possible in Europe but we sadly found out it was true. A small country with so many Laws and Regulations it is almost impossible to do business in.

We started importing money to set up the company legally and find business partners in Slovenia. We spent $1,000.00 to legally set up the company with a Notary and start rolling...took over a month to do a register it with at least 10 different Government Agencies.

We had to obtain this permit and that permit and therefore needed an Attorney to represent ISITEL and an Accountant to do the Accounting. Both very reasonable but now we can't pay them because the Slovenian Government has blocked our bank account. Can you believe this?

We then needed to have an Office so we rented one in downtown Zavod Koper Otok shared with other tenants and signed a contract. Next thing we know is the other tenants were drinking alcohol and sleeping in the premises so we filed a complaint with the Police. It is still tied up in the Courts in Koper.

So we decided to buy an office in Koper to start our activities and put a down payment of $10,000.00 for an Office. Guess what? Tied up in the Courts in Koper.

We really only ever had one employee at ISITEL in Koper and she got ill and her MD told her she could not return to work. So at that point there was not much ISITEL could sell except advertising, news and information.
