Authority to Sell: To Sign or Not to Sign

You have a property you want to sell. A sales agent approaches you, and asks you if he can help you dispose of your property. You say YES, and he asks if you are willing to sign an Authority to Sell (or ATS).

Should you proceed?

Are there risks when signing an ATS, and if there are, how can you protect yourself?

YOU SHOULD PROCEED. Having an agent, or group of agents, posting and promoting your property will greatly increase your chances of finding a buyer.
An ATS is not something to fear. In other countries, especially in the US, properties will never get listed unless the owner issues an ATS. An ATS is a document where the owner tells the realtor: "Hey, if you list my property, and you find a buyer for me, I will give you commission."

Why do realtors require an ATS? There are three major reasons why.
First, a broker who has no ATS has no authority to offer your property for sale. Now, an ATS can be verbal, but if it is verbal, it will be hard for the realtor to prove your agreement, that is why a written ATS is always preferred.

If the broker has no ATS, and your property is sold to a buyer that he found for you, you can deny his authority and he will not be able to insist on his commission. In many instances, then and now, many realtors have been victimized by scheming property owners. It is totally alright for property owners to pay commission even without a written ATS, but there have been those who, upon receipt of the purchase price, intentionally turn their backs on their realtors simply because the latter do not have a written ATS.

Realtors are professionals, and compensation for their work is recognized by law, and yet many property owners do not recognize the fact that realtors deserve to be paid. Hence the need for a written ATS.

Second, in a memorandum, the Professional Regular Commission (or PRC) prohibits realtors from selling without ATS. Realtors who violate this memorandum can be subjected to administrative sanction.

Third, posting your property for sale could involve disclosure of details that are covered by the Data Privacy Act. The realtor therefore needs a written authority, thru the ATS, to post or disclose those details, otherwise he could be liable under this law.

WHAT ARE THE RISKS INVOLVED if you sign an ATS, and how can you protect yourself from them?
There are two types of ATS, and I do not see either one being a risk at all. However, in our country, one type of ATS is preferred over the other.

EXCLUSIVE ATS
The first type of ATS is the EXCLUSIVE one. This is the type of ATS that is regarded by many with suspicious eyes.
An exclusive ATS means that the realtor you give your ATS to gets a commission if your property is sold within a certain period, regardless of whether or not he was the one who found your buyer.
"Why?", you ask, "should the realtor get commissions for buyers he did not find?" The answer is that, when a realtor includes your property in his listing and posts it for sale, the WHOLE WORLD reads about it. The potential buyer who reads the post may or may not contact the realtor anymore. If the post has your details, or if the buyer knows you or your property personally, he could go to you and transact with you directly, and just like that, the realtor is kicked out of the picture.

But if you look closely, your buyer would not have known that your property was for sale if not for the post of your realtor, which means that your property was really sold because of your realtor's efforts.
What is the risk involving this ATS? The risk involved here does not arise from the ATS or its exclusivity per se, but from the following:

a. ISSUING IT TO THE WRONG REALTOR. An exclusive ATS prevents you from appointing more than one realtor at a time. It means, therefore, that if the realtor you issued your exclusive ATS to DOES NOT DO HIS JOB, you are screwed.
What I am saying therefore is this: an exclusive ATS is okay as long as you know that the realtor you give it to is effective and hardworking. Or you can choose to give your exclusive ATS to a realty company with many brokers and sales agents, and has a huge client base. This will greatly increase your chances of exposure, and exclusivity will not make a difference.

b. POORLY WORDED ATS. An exclusive ATS must clearly indicate, among other things, a TIME FRAME, not only for the effectivity of the ATS, but also for the period within which your realtor can claim commissions. It is normal for the right to earn commissions to end later than the life of the ATS, but both must be clearly indicated.
Before signing an exclusive ATS, consult a lawyer and ask him to explain the implications to you.

NON-EXCLUSIVE ATS
A non-exclusive ATS gives the realtor the right to publish your propery for sale, but the realtor earns commissions only for those buyers that he was able to previously register with you during its effectivity. This is the ATS that is preferred by most Filipinos. It is generally harmless. It simply binds you to pay the realtor for work that he has done.

Are there risks involving this ATS? None, really, unless your ATS is poorly worded. Here are tips on how to make sure that your ATS is correctly worded:

a. EXPLICIT TERM. Make sure that your ATS specifies a period. When does it start, and when does it end? Most ATSs have a life of 6 months to 1 year. Make sure to provide that the ATS automatically expires at the end of the period, without need of further action on your part. If you need to extend the period, you can always sign a new ATS.

b. CLEAR PROVISIONS ON REGISTRATION. How should the realtor register his buyer with you? Normally, a written note with the buyer's name on it, signed by the realtor, is enough, but you can ask for more details if you like. Please do not ask for the registration to be notarized. It is totally unnecessary, will not add to your protection, and will inconvenience your realtor.
IN SUM, the ATS is really a friend to both you and the realtor, and I highly recommend that you sign one. It benefits the realtor because it secures his right to his commission.

At the same time, it also helps YOU because without the ATS, realtors will be hesitant to work on your property. Realtors can be of great help to you and to your properties for sale, but you have to trust them with an ATS, otherwise they will not be able to do their jobs.
