ဒီနေ့ sharing လုပ်ပေးသွားမှာကတော့ history of stock exchange ပဲဖြစ်ပါတယ်

🗨 16 century မှာ European companies တွေနဲ့ government တွေက သူတို့ colony ပြုလုပ်ထားတဲ့ဒေသတွေ ကနေ့ အဖိုးတန်ပစ္စည်းတွေ ဟင်းခတ်အမွှေးအကြိုင်တွေကို သဘော်နဲ့ သယ်ပြီးတော့သူတို့ရဲ့ဒေသမှာပြန်ရောင်းကြတယ်ပေါ့ အမြတ်တွေလည်းအများကြီးရကြတယ်

🗨 Investors တွေကလည်း သဘော်တစ်ခုထဲမှာ သူတို့ ငွေ တွေ ကို invest လုပ်မဲ့အစား ငွေကိုခွဲပြီး သဘော်တွေ အများကြီးမှာ invest လုပ်ကြတယ်ပေါ့ risk ကို share တဲ့ဘဘောပါပဲ

🗨 အဲ့လိုနဲ့ Dutch East India Company က အဲ့ concept ကို upgrade လုပ်ပြီးတော့ first major stock market ကို ပြုလုပ်ခဲ့တယ်

🗨 1602 ခုနှစ်မှာ Netherland နိုင်ငံ Amsterdam မြို့မှာ ပထမဆုံး stock exchange ဖြစ်တဲ့ Amsterdam stock exchange ဖြစ်လာခဲ့တယ်

Share ဘယ်နှမျိုးရှိလဲ ???

Share အကြောင်းပြောရမယ်ဆိုရင် general အားဖြင့် share အမျိုးအစား 2 မျိုး ရှိတယ်
1. Ordinary Shares (Common Share)
2. Preference Shares

Ordinary Shares (Common share)

🗨 Ordinary Share ဆိုကိုသာမန် Share လိုလည်းခေါ်တယ်ပေါ့ မဲပေးခွင့်ရှိတယ် အမြတ်ရပိုင်ခွင့်ရှိတယ် အမြတ်ကတော့ မြတ်တဲ့အခါမှရမယ်ပေါ့ company performance ကောင်းရင်ကောင်းသလောက် dividend ရမယ်
Return potential = higher than preferred shares
Risk potential = higher than preferred shares

Preferred shares

🗨 Preferred share ကတော့ ဦးစားပေး share ပေါ့ နာမည်အတိုင်းပဲ company က dividend ခွဲ ရင်အရင်ဆုံးရမယ် သူရဲ့ dividend ကတော့ပုံသေသက်မှတ်ပြီးသားပေါ့ ဆိုလိုချင်တာက company performance ကောင်းသွားလည်း dividend တိုးမသွားဘူး သူ့မှာတော့ မဲပေးခွင့်မရှိဘူးပေါ့
Return Potential = lower than ordinary shares
Risk Potential = lower than ordinary shares

ဥပမာအားဖြင့်

🗨 company က dividend ပေးဖို့ 50 million kyat ရှိတယ်ဆိုပါစို့ preferred share holders တွေကို ပေးရမယ့် dividend payment က 50 million kyat ဆိုရင် preferred share holders တွေကို dividend အရင်ပေးရမယ်ပေါ့ ဘာလို့လဲဆိုရင် သူတို့က preferred ( ဦးစားပေး) ဖြစ်နေလို့ ဆိုလိုချင်တာက Common Share holders တွေက dividend payment မကျန်တော့တဲ့အတွက် dividend မရဘူးပေါ့

🗨 အကယ်၍ company မှာ 200 million kyat for dividend payment ရှိတယ်ဆိုပါစို့ ခုနကအတိုင်း preferred share holders တွေက fixed dividend ဖြစ်တဲ့ 50 million kyat ကိုခွဲဝေပေးပြီးတော့ ကျန်တဲ့ 150 million kyat ကို Common Share holders တွေကရမယ်ပေါ့

Share နဲ့ bond နဲ့ဘာကွာလဲ???

🗨 Share နဲ့ bond ကိုအလွယ်မှတ်မယ်ဆိုရင် share ကို ဝယ်လိုက်ပြီဆိုရင် ကိုယ်က အဲ့ company ရဲ့ part of the owner ဖြစ်သွားပြီတော့ bond ဆိုရင် ကိုယ်ကအဲ့ company ကို ငွေချေးပေးတဲ့လူဖြစ်သွားတယ်ပေါ့ အကြွေးရှင်ရဲ့ အကြွေးတင်နေတဲ့လူဆက်ဆံရေးပဲရှိမယ်

🗨 Share မှာတော့ voting right ရှိပြီးတော့ bond မှာ voting right မရှိပါဘူး

🗨 Share ကို ownership လို့မှတ်ပြီး bond ကိုကျတော့ debt လို့မှတ်လို့ရမယ်

ဘယ်ဟာက risk ပိုများလဲ???

🗨 သေချာပေါက် share ကတော့ risk ပိုများတာပေါ့ share က general အားဖြင့် company ကအမြတ်ရမှ dividend ခွဲဝေပေးပြီးတော့ အမြတ်မရရင် dividend မရဘူးပေါ့

🗨 Bond ကတော့မတူဘူး သူက debt nature ရှိတော့ အမြတ်ရရမရရ ပုံသေအတိုးနှုန်းပေးရတယ် ပြီးတော့ maturity date ပြည့်ရင် အရင်းငွေတိုင်းပြန်ပေးမယ်ဆိုတဲ့ commitment လည်းပါတယ်

🗨 Share မှာတော့ maturity date မရှိပါဘူး

🗨 Share ရဲ့ value က market condition ပေါ်မှုတည်ပြီတော့ အပြောင်းအလဲ အရမ်းမြန်တော့ fixed interest နေတဲ့ bond ထက်ပို risk များတယ်လို့ပြောနိုင်ပါတယ်

🗨 Share က risk များပေမဲ့ company performance ကောင်းရင်ကောင်းသလောက် dividend ရနေတော့ high risk high income ဖြစ်ပါတယ်

Income generation ကရောဘာကွာကြလဲ???

🗨 Share ရှင်တွေကတော့ company ရဲ့ debt တွေကိုပေးပြီး ရလာတဲ့ profit ပေါ်မှုတည်ပြီးတော့ dividend ရကြတယ်

Capital market ဆိုတာဘာလဲ???

🗨Capital market ဆိုတာကတော့ financial market တစ်ခုဖြစ်ပါတယ် အရင်အနှီးစျေးကွက်လည်းဖြစ်သလို ကာလရှည်ငွေကြေးတွေကိုစုစည်းတဲ့နေရာလည်းဖြစ်တယ်
🗨Market လို့ဆိုသည့်အတိုင်း ရောင်းသူနဲ့ဝယ်သူ နဲ့ ဆုံတွေ့တဲ့နေရာတစ်ခုလည်းဖြစ်တယ်
🗨ဆိုတော့ က capital market မှာ ဘာတွေရောင်းဝယ်ကြတာလဲပေါ့ capital market မှာဆို ရင် financial securities တွေ stock တွေ bond တွေ နဲ့ တစ်ခြား long-term investment တွေကို trade လုပ်ကြပါတယ်
🗨Capital market မှာ ဘယ်သူတွေကအရောင်းအဝယ်လုပ်ကြတာလဲ???
Capital market မှာအရောင်းအဝယ်လုပ်ကြတဲ့လူတွေကတော့ financial securities, stock,bond တွေကိုပိုင်ဆိုင်တဲ့လူတစ်ဦးတစ်ယောက်ချင်းစီပါဝင်သလို, companies တွေ နဲ့ government လည်းပါဝင်ပါတယ်
🗨captital market ကို ယေဘုယျ အားဖြင့် နှစ်ပိုင်းခွဲလို့ရတယ်ပေါ့ အဲ့နှစ်ပိုင်းက တော့ stock market နဲ့ bond market ဖြစ်တယ်
🗨အပေါ် က capital market အကြောင်းနားလည်ရင် stock market နဲ့ bond market ကတော့လွယ်ပါတယ်
🗨stock market မှာဆိုရင် company ရဲ့ equity တွေ share တွေ ရောင်းဝယ်ကြတယ် အဲ့တာကြောင့်လည်း stock market ကို equity market လို့လည်း ခေါ်ကြတယ်
🗨Bond market မှာဆိုရင်တော့ ကြွေးမှီးစာချုပ်တွေ primary bond တွေကိုရောင်းဝယ်ကြတယ်ပေါ့ ဒါကြောင့်လည်း သူ့ကို debt market လို့လည်းခေါ်ကြတယ်
🗨အဲ့လို stock market နဲ့ bond market အောက်မှာ primary market နဲ့ secondary market ဆိုပြီးတော့နှစ်မျိုးထပ်ရှိသေးတယ်
🗨Primary market ကတော့ companies တွေကနေ တိုက်ရိုက်ရောင်းတဲ့ market ဖြစ်ပြီးတော့
🗨Secondary market ကတော့ individuals တစ်ယောက်နဲ့တစ်ယောက် ပြန်လည်ရောင်းချတဲ့ market ဖြစ်ပါတယ်
